    At EzShopper Technologies Inc. (“EzShopper,” “Company,” “we,” “us,” or “our”), we value your privacy and are committed to transparency in how we handle your personal information. This Privacy Policy (“Policy”) outlines how we collect, use, share, and safeguard personal information when providing our services. It also describes your rights and choices regarding your data and how to contact us with any privacy-related concerns.

    EzShopper offers AI Software Service that aim to online shopping and optimize e-commerce
  • Website: Our website, https://www.ezshopper.ai is available for visitors’ seeking information about our products and services.
  • Platform: Our platform, accessible at https://app.ezshopper.ai, provides Based on data provided by the customer (online store), the EzShopper.ai Algorithm learns about each customer in the online store to provide an exclusive experience. For example, recommendations of preferred products or proposals for new products based on historical customer data. Our inventory analysis algorithm allows us to anticipate purchasing trends and find opportunities to expand sales. The Pricing Algorithm analyzes purchase histories, develops price and conversion tests and generates individualized rules for each search category by time and day with the aim of maximizing the product’s sales margin without negatively influencing the conversion rate. for registered users (“Clients” and their authorized representatives).

    By using our website, platform, or services, you acknowledge that you have reviewed and accepted the practices outlined in this Policy and our Terms of Service. If you disagree with any provisions, please refrain from further access or use of our services.

  • The controller for personal data collected directly through our website and platform.
  • The processor for data managed by Clients through our platform.
  1. Definitions

Business

for the purpose of the CCPA, means the legal entity that collects Consumers’ personal information and determines the purposes and means of the processing of Consumers’ personal information, or on behalf of which such information is collected and that alone, or jointly with others, determines the purposes and means of the processing of Consumers’ personal information, that does business in the State of California

CCPA

means the California Consumer Privacy Act of 2018 and as amended by the California Privacy Rights Act (CPRA) (collectively, “California Privacy Laws”),

Client

means any organization or business that is a client of EzShopper, has purchased a subscription, and has authorized its Authorized Users to engage on the Platform 

Company

means EzShopper Technologies Inc.

Data Controller

for the purposes of the GDPR, means the legal person which determines the purposes and means of the process of Personal Data alone or jointly with others

Data Subject

means a natural person who can be identified or rendered identifiable through the personal data related to

Device

means any device that is suitable to access the Service such as a computer, a cellphone or a digital tablet

Do Not Track (DNT)

means a concept that has been promoted by U.S. regulatory authorities, in particular the U.S. Federal Trade Commission (FTC), for the Internet industry to develop and implement a mechanism for allowing internet users to control the tracking of their online activities across websites

GDPR

means (i) Regulation 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the Processing of Personal Data and on the free movement of such data (General Data Protection Regulation) (the “EU GDPR“); and (ii) the EU GDPR as saved into United Kingdom law by virtue of section 3 of the United Kingdom’s European Union (Withdrawal) Act 2018 (the “UK GDPR“); in each case as may be amended or superseded from time to time

Personal Data Breach

means a breach of security whether accidental or on purpose, resulting in accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to personal data

Personal Information/
Personal Data

means any information/data that relates to an identified or identifiable individual

For the purposes of the UK & EU GDPR, Personal Data means any information relating to you such as a name, an identification number, location data, online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity.

For the purposes of the CCPA, Personal Information means any information that identifies, relates to, describes or is capable of being associated with, or could reasonably be linked, directly or indirectly, with you.

Platform

means the platform and all relevant the services, tools and materials offered thereon, and any other content, media, social media accounts linked to or otherwise associated therewith, available only to registered users within a paid or trial subscription.

Sale of Data

For the purposes of the CCPA, means selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a Consumer’s personal information to another business or a third party for monetary or other valuable consideration

Service

means the services provided by EzShopper through Website and Platform as described in our Terms of Service

Service Provider

means any natural or legal person who processes the data on behalf of EzShopper and refers to Third-Party companies or individuals contracted by EzShopper to facilitate the Service, to provide the Service on behalf of EzShopper, to perform services related to the Service or to assist EzShopper in analyzing how the Service is used 

For the purposes of the GDPR, Service Providers are considered as Data Processors. Our Third-Party Service Providers are considered as our ‘Sub-processors’.

Social Networks

mean the business accounts on the social networking sites, messaging platforms and/or application stores supported by the Platform (such as Twitter, Facebook, LinkedIn, Instagram, YouTube, WhatsApp, Google My Business, Google Play and App Store) that Client desires to connect through the Platform

Social Networks Authorization

means the authorization relating to the Client’s Social Networks, which enable the Platform to interact with Client’s Social Networks 

Special Categories of Personal Data

means personal Information revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership and genetic and biometric information, information concerning data subject’s sex life or sexual orientation

Sub-Processor

means any Third-Party Data Processor of EzShopper who has or will have access to or process Personal Data

Third Party

means any other natural or legal person that is not part of EzShopper

Third-Party Services

mean any product that Service Providers submit to EzShopper users for the proper performance of the Website, Platform and Services

Usage Data

means the data collected automatically, either generated using the Service or from the Service infrastructure itself (for example, the duration of a page visit)

User(s)

mean any natural person who is either a Visitor or an Authorized User of Client who has access to and benefit from the Platform or Services at various levels

Visitor

means the natural person who accesses and/or uses certain parts of our website during their visit. For example, a Visitor may request a demo, subscribe to our newsletter, and contact us by e-mail or Website

Website

means the website and subdomains, and other media including all their respective features and content belongs to EzShopper, accessible from www.EzShopper.ai

We may collect information about your online activities on the EzShopper Website/Platform and connected Devices over time and across third-party websites, devices, apps, and other online features and services. For example, when you interact with automated chat functionality (e.g., chatbots) to make an inquiry, provide feedback, or submit a request, we may collect certain details such as your name, email address, your specific feedback or request, and usage information related to our Services.

This includes automatically collected information, which generally does not include personal data unless provided directly through our Website/Platform or other means. Methods we use include:

  • Cookies (session-based or persistent): Small data files stored on your hard drive or browser, described in detail under our “Cookie Notice.”
  • Web beacons or tags: Small images embedded into websites or emails that collect data about your Device when you visit our Website/Platform or open an email.
  • Log files: Automatically created records of your access to and usage of the Website/Platform.

These technologies collect information including:

  • Browser and Device Data: Details such as IP address, Device type, browser type, screen resolution, operating system, language, and Device model.
  • Preference Information: Marketing and communication preferences, account settings, Services usage, and areas of interest.
  • Logs and Usage Data: Time spent on the Website/Platform, pages visited, links clicked, and search activities.
  • General Location Information: Region or city based on IP address or Device settings.

We use analytics tools such as Google Analytics to understand Website/Platform usage and diagnose technical issues. If necessary for the features of our Services (e.g., profile photo upload), we may request access to your Device’s files, contacts, camera, or voice recording, with prior permission. Users may manage such permissions through their Device settings at any time.

8 – How EzShopper Shares Personal Information EzShopper  does not rent or sell your information. We restrict access to your information to authorized employees and we do not share your information with Third Parties except in the circumstances explained below. Employees and Authorized Contractors Our employees and authorized contractors may need to access information about you when they require this information to perform their job. For example, a customer support representative would need access to your account to validate your identity and respond to your question or request; our email communications team would need access to your contact information to ensure this information is sent correctly and any unsubscribe requests are properly managed; and our security staff would need to review information to investigate attempted denial of service attacks, fraudulent account activity, or other attempts to compromise the Services. All our employees and contractors are required to agree to maintain the confidentiality and protect the privacy of your information. Social Networks and Third-Party Services We share personal information with Social Networks and integrated Third-Party Services, Clients have chosen to authenticate and connect with EzShopper Platform. Where you are using our Services and have chosen to connect your Social Networks to the Services, or if you authorize a Third-Party Service to access your account, you are agreeing to provide information about you to the Social Networks and the Third-Party Services under their respective terms and privacy policies. For example, if you choose to connect your YouTube account to the Services, this connection uses YouTube’s API services, and the Google Privacy Policy will apply to you. By its nature, social media data can be shared with people around the globe. The Social Networks and Third-Party Services that you choose to integrate with our Services may collect, store, and process your information from various locations around the world according to their own terms and privacy policies. Service Providers and Business Partners Without prejudice to the foregoing, we share personal information with a limited number of our Service Providers. We have Service Providers that provide services on our behalf, such as website hosting, data analysis, information technology, and related infrastructure, customer service, email delivery. These Service Providers may need to access personal information to perform their services. We authorize such Service Providers to use or disclose personal information only as necessary to perform services on our behalf or comply with legal requirements. We require such Service Providers to contractually commit to protect the security and confidentiality of personal information they process on our behalf. These Third- Party Service Providers may process or store personal data on servers outside of the EEA, UK, and Switzerland, including in the US. We rely on standard contractual clauses (if sent to the US or onward to other countries) to ensure that information about you is lawfully transferred under EU law. In this case, we have implemented supplementary measures as outlined in the Section 13 “How EzShopper Protects Your Personal Information”. Sub-processors and Client Content We limit the number of Service Providers who are permitted to process Client Content for the purpose of assisting us in delivering the Services. We refer to these service providers as “sub-processors” and they are listed on here. Our service providers are predominantly located in the European Union and the United States of America. When sharing your information with any of the above, we ensure they agree to obligations consistent with this Policy and any other appropriate confidentiality and security measures, and only use your information to carry out the Services and your requests. Client Organizations Where your employer or an entity has purchased Services on your behalf, we may disclose information about you such as your name and email address, image/avatar (if you have any) and some usage information including whether a user has logged in to the Service, frequency of login, time spent using the Services, and enrollment and analytics to assist your employer or the entity in managing its use and maximizing the value of the Services. Business Transfers In the event that we enter into, or intend to enter into, a transaction that alters the structure of our business, such as a reorganization, merger, sale, joint venture, assignment, transfer, change of control, or other disposition of all or any portion of our business, assets or stock, we may share personal information with Third Parties for the purpose of facilitating and completing the transaction. If we do, we will inform such entities of the requirement to handle your information in accordance with this Privacy Policy or inform you that you are covered by a new privacy policy. You will have the opportunity to opt-out of any such transfer if the new entity’s planned processing of your information differs materially from that set forth in this Privacy Policy. Law Enforcement, Government Agencies, and Professional Advisors We may need to disclose information about you where we believe that it is reasonably necessary to comply with a law or regulation, or if we are otherwise legally required to do so, such as: (i) to comply with applicable law, or payment method rules; (ii) to enforce our contractual rights including our Terms, Applicable Use Policy and this Privacy Policy; (iii) to protect the rights, privacy, safety, and property of EzShopper , you or others; and (iv) to respond to requests from courts, law enforcement agencies, regulatory agencies, and other public and government authorities, which may include authorities outside your country of residence. For governmental data access requests concerning you or your organization, we would first attempt to redirect the request to you and/or we would first attempt to notify you unless we are legally prohibited from doing so. We also use professional advisors, including lawyers and accountants, and may be required to disclose information about you when engaging them for their services and as necessary for audits, financial and other regulatory reviews. We may disclose information in the aggregate form to Third Parties relating to user behavior in connection with the actual or prospective business relationship with those Third Parties, such as advertisers and content distributors. 

  1. EzShopper as a Service Provider and Processor

EzShopper provides a platform and software tools to support communication, streamline customer experiences, and enhance marketing efforts, including features like e-commerce integration, personalized recommendations, analytics, and customer care. In delivering our Services, EzShopper enables Clients to:

  • Add, upload, or store personal information about their customers, vendors, or users within the platform.
  • Integrate third-party tools or APIs to manage customer interactions and analyze engagement.
  • Collect, analyze, and aggregate publicly available data to track trends, improve product offerings, and manage campaigns.

When you use our Services and determine how personal information is processed (e.g., choosing integrations, uploading user data, or managing content), you act as the data controller, while EzShopper serves as the data processor. As a processor, EzShopper only processes data as per your instructions, the Terms of Service, and applicable laws.

Client Responsibilities
As the data controller, you are responsible for ensuring compliance with applicable data privacy regulations, including obtaining user consent where necessary and providing transparent privacy notices. You are also responsible for validating integrations with third-party services and adhering to their respective terms regarding data use.

Processing Activity
EzShopper role as a service provider and processor is governed by contracts such as our Terms of Service and Data Processing Addendum (DPA). These agreements define our processing limits and outline the measures we employ to protect data. Data subject requests related to information processed under this capacity will be referred to the relevant Client.

Data Handling in Integrations
EzShopper facilitates data transfer between you (or your representatives) and integrated third-party platforms. This includes:

  • Customer-generated content such as reviews, inquiries, and user-submitted feedback.
  • Publicly available data retrieved based on user-defined queries.
  • Customer identifiers like names, profile details, or engagement metrics linked to third-party platforms.

Requesting a Data Processing Addendum (DPA)
If required to comply with GDPR Article 28, EzShopper offers a DPA that outlines our data processing commitments. To request a DPA, please contact us at privacy@ezshopper.ai .

Authorized Users
If you are using EzShopper Services on behalf of an organization (e.g., your employer or another entity), that organization determines its own policies regarding data handling. Please refer to their privacy policy for further guidance.

Data Subject Requests
For individuals seeking to exercise data rights (e.g., access, rectification, or deletion), please contact the Client that controls the data. EzShopper will assist Clients in addressing these requests promptly.

14 – Retention

EzShopper Technologies Inc. retains your personal information for as long as reasonably necessary to fulfill the purposes outlined under the “How EzShopper Uses Personal Information” section of this Privacy Policy. For instance, if you register an account, we will store your personal information for as long as you remain a registered user or as long as we reasonably believe we may provide services to you.

Upon termination of your EzShopper account, your data will be removed from active databases during the next scheduled clean-up cycle, which occurs every six months. Any data deleted from active databases will be removed from backups within an additional three months.

We may retain your personal information even after ceasing to provide services to you to comply with legal or regulatory obligations, including tax, accounting, and financial reporting. This retention also covers contractual obligations to partners or as required by applicable law. Data retention will be conducted in accordance with applicable legal limitations and records retention obligations.

EzShopper servers and databases may be in jurisdictions outside of your country of residence. Accordingly, your personal information may be disclosed to government authorities or judicial processes in those jurisdictions as required by law.

We may retain aggregated and anonymized data for analytical, product improvement, and troubleshooting purposes. Please note that content shared on third-party platforms may persist on those platforms even after removal from our services. To delete such content, you must contact the respective platform directly.

15 – International Data Transfers

Your personal information may be processed within the European Economic Area (EEA) or transferred to, stored in, or processed in jurisdictions outside the EEA and the United Kingdom (UK) where EzShopper sub-processors operate.

If personal data is accessed or processed outside the EEA or UK, EzShopper ensures compliance with applicable data protection regulations. For jurisdictions not deemed “adequate” by the European Commission, EzShopper relies on Standard Contractual Clauses or other appropriate safeguards to protect your data.

Data storage and processing may also occur in other countries where EzShopper or its partners operate. While these jurisdictions may have varying data protection rules, EzShopper implements measures to maintain the security of your information. Please note that courts, law enforcement, or regulatory agencies in such jurisdictions may access your personal information under local laws.

16 – Use by Minors

EzShopper services are not directed to individuals under 18 years old, and we do not knowingly collect personal information from minors. If you believe a minor has provided us with personal information, please contact us so we can take the necessary steps to delete the data.

17 – Updates to This Policy

We may update this Privacy Policy periodically to reflect legal, technical, or business developments. Changes will be effective upon posting the revised policy on our website or platform. For significant changes, we will notify you and, if required, obtain your consent in accordance with applicable laws. The “last updated” date at the top of this Privacy Policy reflects the most recent revisions.

Our services may contain links to third-party websites. These sites operate independently and have their own privacy policies. We strongly encourage you to review these policies before sharing any personal information. EzShopper is not responsible for the content, privacy practices, or use of information by such third-party websites.
